3. Scope of Services

4. Developer Hiring and Talent Engagement

When hiring AI developers through AIDeveloperIndia, clients may engage developers under contract, dedicated team, or project-based models. Developers remain associated with AIDeveloperIndia unless otherwise agreed in writing. Clients agree not to directly solicit, hire, or engage assigned developers outside of the agreed contractual structure without prior written consent.

Any transfer or buyout terms must be mutually agreed upon.

5. Client Responsibilities

Clients agree to provide accurate information, timely communication, necessary documentation, access to systems, and decision-making support required for successful project execution. Delays caused by incomplete inputs, feedback gaps, or missed approvals may affect timelines and outcomes, for which AIDeveloperIndia shall not be held responsible.

Clients are responsible for ensuring that their intended use of AI solutions complies with applicable laws and regulations.

6. Fees and Payment Terms

All fees for services will be outlined in proposals, contracts, or invoices. Payments must be made according to agreed schedules. Late payments may result in suspension of services, delayed delivery, or additional charges. Taxes, duties, or government levies applicable to the engagement shall be borne by the client unless otherwise stated.

All payments made are non-refundable unless otherwise specified in a written agreement.

7. Intellectual Property Rights

Ownership of intellectual property developed during an engagement shall be governed by the specific contract or statement of work. Unless otherwise agreed, clients typically receive rights to deliverables upon full payment. AIDeveloperIndia retains rights to pre-existing tools, frameworks, methodologies, templates, and proprietary assets used in delivering services.

We reserve the right to showcase anonymized project work in portfolios unless restricted by confidentiality agreements.

Both parties agree to maintain strict confidentiality of proprietary information shared during the engagement. Confidential information includes business strategies, data, code, documentation, pricing, and technical architecture. Confidential obligations survive termination of the agreement unless otherwise stated.

9. Data Protection and Security

However, clients are responsible for maintaining secure internal systems and ensuring lawful data usage. We are not liable for data breaches caused by third-party platforms, client-side vulnerabilities, or force majeure events beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, AIDeveloperIndia shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of our services. Our total liability for any claim shall not exceed the amount paid by the client for the specific services giving rise to the claim.

We do not guarantee uninterrupted, error-free, or outcome-specific AI performance unless contractually committed.

11. Warranties and Disclaimers

Services are provided on an “as is” and “as available” basis unless otherwise agreed in writing. AI systems may involve inherent limitations, probabilistic outputs, and evolving technologies. AIDeveloperIndia does not warrant that AI outputs will always be error-free, unbiased, or suitable for every intended use case.

Clients are responsible for reviewing and validating AI-generated outputs before operational deployment.

12. Termination

Either party may terminate an engagement according to the terms outlined in the applicable contract. Upon termination, clients must pay for all completed work and approved milestones. Confidentiality, intellectual property, payment obligations, and liability limitations survive termination.

13. Non-Solicitation

Clients agree not to directly hire, solicit, or engage AIDeveloperIndia employees or contractors during the engagement and for a defined period thereafter, unless mutually agreed in writing. Violation may result in contractual penalties.

14. Governing Law and Jurisdiction
